1. Introduction and relationship characterization
This Merchant/Seller Agreement ("Agreement") governs the relationship between TrustyDr ("we," "us") and the business registered on TrustyDr Commerce ("Merchant," "you," "your") that lists and sells products through the Platform.
The terms "Platform," "Merchant," and "Customer" in this Agreement carry the same meanings given to them in the Terms of Service: the Platform is the TrustyDr Commerce website, application, and related services; a Merchant is a business that lists and sells products through the Platform (you, for purposes of this Agreement); and a Customer is a person using the Platform to browse or order products from a Merchant. "TrustyDr" refers to the same operating entity throughout the Terms of Service, this Agreement, and the Privacy Policy.
TrustyDr provides technology, marketplace, and listing infrastructure that allows you to register a business, list products, receive and manage orders, and interact with Customers. TrustyDr does not become a party to any sale between you and a Customer, does not become your agent, and this Agreement does not create a partnership, joint venture, franchise, or exclusive relationship between us. You remain, at all times, an independent business and the seller of record for every product you list. TrustyDr grants you no exclusive territory, and nothing in this Agreement restricts TrustyDr from working with other merchants, including competitors of yours.
This Agreement is provided in English, Arabic, and Kurdish. Each version is intended to convey the same meaning; if you have any question about a difference between versions, please contact us using the details in Section 22.
2. Who may accept this Agreement on the organization's behalf
This Agreement may be accepted electronically on behalf of your organization only by (a) the individual who created the organization's account on the Platform, or (b) an active staff member you have explicitly granted the specific permission to accept legal agreements on the organization's behalf.
By accepting this Agreement, the individual doing so represents and warrants that they are authorized to bind the organization to this Agreement, and TrustyDr is entitled to rely on that representation without independently verifying it. If that representation is false, the individual and the organization are each responsible to TrustyDr as described in Section 18 (Indemnification) below.
Your acceptance — including which version of this Agreement you accepted, who accepted it, and when — is recorded by our systems and cannot be altered after the fact; it stands as your organization's own evidentiary record of acceptance.
3. Eligibility and business/licensing representations
You represent and warrant that: you operate a validly registered business under applicable Iraqi law; you hold, and will maintain for as long as you use the Platform, every license, permit, and registration required for the products you sell — including, where applicable, pharmacy and healthcare-product licensing under the Pharmacy Practice/Pharmaceutical Law and Iraq Drug Regulatory Authority requirements; and the business and account information you provide us is accurate and kept up to date.
TrustyDr reserves the right to verify, or require you to demonstrate, your identity, business registration, ownership, authority to act for your business, licensing, or other status at any time, and to restrict your access to or visibility on the Platform pending that verification. We do not represent that a specific verification process, standard, or timeline currently applies to every merchant.
4. Products, listings, pricing, and inventory
You are solely responsible for the accuracy of the product information, pricing, and inventory you list on the Platform, including compliance with Iraqi product-labeling, expiry-date, and quality-standard requirements.
You agree not to list products that are prohibited, unregistered, or restricted under Iraqi law, including unregistered pharmaceuticals and any product requiring a license or registration you do not hold.
Prices you set must be displayed inclusive of all fees and taxes known at the time of listing, and you agree to transact with customers in Iraqi Dinar.
Where a product falls within the Platform's shared category taxonomy, you agree to classify it accurately using the categories made available to you; you do not have the ability to create new public-catalog categories directly.
5. Prescription and regulated-product boundary
Where you offer medicines, prescription-only products, controlled substances, or other regulated health products, you are solely and independently responsible for: verifying prescriptions where required; complying with all restrictions on the sale, dispensing, and distribution of such products, including under the Pharmacy Practice/Pharmaceutical Law, Iraq Drug Regulatory Authority requirements, and Law No. 50 of 2017 on narcotics and psychotropic substances; and complying with the prohibition on direct-to-consumer advertising of medicines. TrustyDr does not verify prescriptions, does not review regulated-product listings for compliance before they are published, and provides no tooling for prescription verification.
This section assigns responsibility as between TrustyDr and the Merchant; it does not, and is not intended to, establish that intermediating the sale of prescription medicines through the Platform is itself lawful under Iraqi law. Your compliance with this section does not resolve that separate question.
6. Orders and fulfillment
When a Customer submits an order for your products, it is sent to you through the Platform as a request to purchase. You are responsible for promptly accepting or rejecting each order. Your acceptance is what establishes the sale, subject to applicable law; if you reject an order, no sale occurs. Once you accept an order, you are responsible for preparing, marking ready, and fulfilling it through to completion using the order-management tools provided, acting in good faith and within the timelines you represent to customers.
Customer cancellation. A Customer may cancel their own order using the tools provided on the Platform at any point before you have completed fulfilling it. You agree to honor a Customer's cancellation made through those tools and not to charge or attempt to collect payment for an order that was validly cancelled before you fulfilled it.
Payment for the order. As described in Section 4 above and consistent with the Terms of Service, payment for an order is made directly between you and the Customer — TrustyDr is not involved in, and does not process, hold, settle, or transfer, those funds. You are solely responsible for: the lawful collection of payment through whatever method you offer (cash, card, cash/payment on delivery, ZainCash or another electronic method you support, or another lawful method); providing receipts where required by law; your own sales accounting and tax obligations relating to amounts you collect; and resolving, subject to applicable law, any dispute with a Customer concerning money you have collected. The Platform may allow you to record the payment method and amount for an order as part of your own order records, but doing so does not make TrustyDr a party to, or responsible for, that payment.
7. Delivery
You are responsible for the delivery of orders you fulfill, whether through your own delivery personnel or other arrangements you make. TrustyDr does not operate a delivery fleet, does not employ or direct your delivery personnel, and is not responsible for the timeliness, handling, or loss or damage of goods in transit. The Platform provides tools that let you add and manage your own delivery staff and track delivery status — coordination tooling only.
8. Returns, refunds, and reverse fulfillment
You agree to handle return, refund, and reversal requests fairly, in compliance with applicable Iraqi consumer-protection law, and using the reverse-fulfillment tools provided by the Platform. You acknowledge that a return/refund case does not automatically imply that a refund is owed, that inventory or financial reversal must happen together, or that goods were confirmed received — each case is reviewed and resolved individually.
At minimum, you must honor the non-conformity refund right guaranteed to customers under Iraqi law, subject to the exceptions that law itself provides (for example, customized goods, digital content, or perishable goods).
9. Subscription, fees, and billing
Use of the Platform beyond the free trial requires a paid subscription. As of this Agreement, a single purchasable plan ("Starter") is available, in Iraqi Dinar, with monthly, six-month, and annual billing cycles; other plans referenced on the Platform are not yet purchasable. Your free trial lasts 30 days from the creation of your organization.
TrustyDr does not operate an automated payment gateway and does not charge your card or bank account automatically. You pay through an offline method you arrange yourself (for example, a bank or mobile-money transfer) and submit a record of that payment — including the method and any reference number — through the Platform for our review. Amount and duration due are always calculated by our systems, not entered by you. Approval of a submitted payment is performed by a TrustyDr staff member, not automatically; once approved, the paid period is added to whatever time remains on your account, not restarted from zero.
This section describes your own subscription/platform fee paid to TrustyDr — a separate matter from your obligations regarding payments you collect from Customers for their orders, addressed in Section 6 above.
10. Taxes
You are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to your own sales, and for maintaining your own tax registration in good standing. Fees you pay to TrustyDr are stated exclusive of any taxes that may become applicable to them.
11. Marketplace enforcement and content standards
We reserve the right to review, request changes to, or remove any listing; to require you to demonstrate compliance with licensing or product-registration requirements before a listing is made visible on the marketplace; and to condition marketplace visibility on verification we may require from time to time. This right is reserved generally and does not commit TrustyDr to a specific verification standard, process, or timeline.
12. Suspension and termination
Your account may become non-operational automatically if your subscription expires without a paid renewal — this happens through our systems' own date-based calculation and is not a discretionary trust-and-safety decision.
Separately, we reserve the right to suspend or terminate your access to the Platform for cause, including fraud, illegal listings, breach of this Agreement, or conduct that creates legal or regulatory risk for the Platform or its users.
13. Data handling as a merchant
Through the Platform, you may access customer information necessary to fulfill orders (for example, a customer's name and delivery address for an order placed with you). You agree to use that information only for the purpose of fulfilling the order, to handle it consistent with applicable Iraqi data-protection obligations — including data minimization, obtaining consent where you use it beyond order fulfillment, and notifying us and affected customers promptly if a security incident involving that data occurs on your side — and not to use it for unrelated marketing or share it with third parties without a lawful basis.
14. Intellectual property
The Platform itself — its design, software, and branding — is owned by TrustyDr or its licensors. You retain ownership of your own business name, branding, and the content (descriptions, images) you upload; by listing a product, you grant TrustyDr a license to display that content on the Platform for the purpose of offering it for sale.
15. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only in connection with this Agreement.
16. Warranty disclaimers
The Platform is provided "as is." We make no warranty regarding sales volume, business outcomes, or the fitness of the Platform's tools for your specific business needs. Nothing in this section limits any right you or your customers have under Iraqi law that cannot be waived by agreement, including the non-conformity refund right described in Section 8.
17. Limitation of liability
To the maximum extent permitted by law, TrustyDr's total liability to you arising out of or relating to this Agreement is limited to the subscription fees you have actually paid to TrustyDr in the six months before the claim arose. This limitation does not apply to liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
18. Indemnification
You agree to indemnify TrustyDr against losses, claims, and damages arising from: your products and listings; your non-compliance with any licensing, product-registration, or regulatory requirement applicable to you; and any false representation you made regarding your authority to accept this Agreement on your organization's behalf (Section 2).
19. Insurance
This Agreement does not currently impose an insurance requirement on Merchants. TrustyDr may introduce a risk-proportionate insurance requirement in the future (for example, tied to sales volume) with appropriate notice.
20. Governing law and dispute resolution
This Agreement is governed by the laws of Iraq. Disputes arising out of or relating to this Agreement will be resolved through arbitration rather than through the courts, except where applicable law does not permit a matter to be arbitrated. The arbitration seat, administering institution, and applicable rules will be specified by TrustyDr consistent with applicable law; any such specification, or later change to it, will be communicated to Merchants and, where it constitutes a material change to this Agreement, will follow the version and re-acceptance process described in Section 21.
21. Term, changes, and re-acceptance
This Agreement remains in effect for as long as you maintain an organization on the Platform. Sections that by their nature should survive termination — including Confidentiality, Indemnification, and Limitation of Liability — continue to apply after this Agreement ends.
We may update this Agreement from time to time. Where a change is material, you will be asked to review and accept the updated Agreement before continuing to use the affected features, consistent with the version-tracked acceptance mechanism built into the Platform.
