1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of TrustyDr Commerce, an online platform operated by TrustyDr ("we," "us") that allows independent businesses ("Merchants") to list and sell products to customers, and allows customers to browse and order those products.
Before you can use protected features of TrustyDr Commerce, you must electronically accept the current version of these Terms and our Privacy Policy. Your acceptance is recorded and version-tracked by our systems, and you may be asked to review and accept again if we publish a materially updated version.
These Terms are provided in English, Arabic, and Kurdish. Each version is intended to convey the same meaning; if you have any question about a difference between versions, please contact us using the details in Section 21.
2. Definitions
"Platform" means the TrustyDr Commerce website, application, and related services.
"Merchant" means a business that lists and sells products through the Platform.
"Customer" means a person using the Platform to browse or order products from a Merchant — generally, you, when reading these Terms.
"Order" means a request to purchase a product from a Merchant, placed through the Platform.
"Account" means your registered user account with the Platform.
3. Eligibility and account responsibility
You must have the legal capacity to enter into a binding contract to use the Platform. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.
You agree to provide accurate identity and, where applicable, business information, and to keep it up to date.
4. What TrustyDr Commerce is — and is not
TrustyDr Commerce is a technology platform. We provide the marketplace infrastructure that lets Merchants list products and manage orders, and that lets you browse, order, and communicate with Merchants. We are not a party to the contract of sale between you and a Merchant. Each Order is a transaction between you and the Merchant; the Merchant is the seller of record.
5. TrustyDr Commerce and healthcare/pharmacy products
This section applies specifically where products offered through the Platform are medicines, health products, or other items subject to healthcare or pharmaceutical regulation.
TrustyDr Commerce is not a pharmacy. We do not dispense medicine, do not practice medicine or pharmacy, do not provide medical or clinical advice, and do not verify prescriptions. Any Merchant offering medicines or regulated health products through the Platform is independently responsible for holding and maintaining every license, registration, and approval required by Iraqi law to sell those products lawfully — including, where applicable, licensing under the Pharmacy Practice/Pharmaceutical Law and registration of the product itself with the Iraq Drug Regulatory Authority — and for complying with all restrictions on prescription-only medicines, controlled substances, and the advertising of medicines.
TrustyDr Commerce is a distinct service from TrustyDr Healthcare (our related platform for doctor appointments and patient care). The two services are operated separately, and using one does not make you a user of the other.
6. Orders, pricing, and how a contract is formed
Product prices displayed on the Platform are set by the Merchant and are shown inclusive of applicable fees and taxes known at the time of listing. Before you submit an Order, you will be shown a summary of the transaction — including the Merchant's identity, the products ordered, the price, and delivery information — and you must affirmatively confirm the Order after reviewing that summary.
Submitting and confirming an Order is a request to purchase, sent to the Merchant — it is not yet a finalized sale. The Merchant may accept or reject your Order. A contract for the sale of the ordered products is formed between you and the Merchant only once the Merchant accepts your Order, subject to applicable law. If the Merchant rejects your Order, no sale occurs and no charge is finalized.
You may cancel an Order yourself, using the tools provided on the Platform, at any point before the Merchant has completed fulfilling it.
6A. How you pay for an Order
Payment for an Order is made directly between you and the Merchant — TrustyDr Commerce is not involved in, and does not process, hold, settle, or transfer, the funds for your purchase. Depending on what a Merchant offers, this may include paying in cash at the Merchant's location, paying cash on delivery, paying by card or another method directly with the Merchant, or paying through an electronic method the Merchant supports (for example, ZainCash or a similar service). The Platform may display or record the payment method used for an Order as part of its order-tracking tools, but TrustyDr Commerce is not a payment processor, acquiring bank, escrow provider, wallet provider, or settlement provider for these transactions, and does not hold or take custody of your purchase funds at any point.
This is separate from any subscription or platform fee a Merchant may pay to TrustyDr to use the Platform, which is not part of your relationship with TrustyDr as a customer. If TrustyDr introduces its own integrated payment processing in the future, that will be a distinct change requiring an updated version of these Terms.
7. Delivery
Delivery is arranged and performed by the Merchant, using the Merchant's own delivery personnel or arrangements. TrustyDr Commerce provides tools that let Merchants coordinate and track delivery status, but we do not operate a delivery fleet and are not the party responsible for the physical delivery of your Order.
8. Returns, refunds, and non-conforming products
Where a product you receive does not conform to what was ordered, you have the right to a return or refund, handled through the Merchant. Merchants process return and refund requests on a case-by-case basis through tools provided by the Platform. This baseline right applies regardless of any Merchant-specific return policy stated on a product listing, except where Iraqi law permits an exception (for example, customized goods, digital content, or perishable goods).
9. Acceptable use
You agree not to use the Platform to: violate applicable law; infringe another person's rights; interfere with the operation or security of the Platform; attempt to gain unauthorized access to any account or system; or submit false, fraudulent, or misleading orders, reviews, or information.
Because Iraq does not currently have an enacted cybercrime statute, our practical remedies for misuse of the Platform rest primarily on this Agreement — including account suspension or termination and pursuit of civil remedies — rather than on a criminal-law backstop.
10. Merchant listings and content
Product listings, descriptions, images, and prices are supplied by Merchants. While we provide tools to help Merchants list accurately, we do not independently verify the accuracy of any specific listing. Merchants are solely responsible for the accuracy and lawfulness of their own listings.
11. Intellectual property
The Platform itself, including its design, software, and branding, is owned by TrustyDr or its licensors and is protected by applicable intellectual property law. Merchant-supplied content remains the Merchant's property; by listing a product, a Merchant grants TrustyDr a license to display that content on the Platform for the purpose of offering it for sale.
12. Fees to you as a customer
TrustyDr does not currently charge you a direct fee for using the Platform beyond the price of products you order.
13. Platform availability and changes
We may modify, suspend, or discontinue any part of the Platform at any time. We do not guarantee that the Platform will be available uninterrupted or error-free.
14. Disclaimers
The Platform is provided "as is." We make no warranty regarding any specific Merchant's products, their quality, safety, legality, or fitness for any purpose — that responsibility belongs to the Merchant. Nothing in this section limits any right you have under Iraqi law that cannot be waived by agreement, including your rights under Section 8 above and under the Consumer Protection Law.
15. Limitation of liability
To the maximum extent permitted by law, TrustyDr's total liability to you arising out of or relating to your use of the Platform is limited to the amount, if any, you have paid directly to TrustyDr (as distinct from amounts paid to a Merchant for products) in the six months before the claim arose. This limitation does not apply to liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
16. Indemnification
You agree to indemnify TrustyDr against losses arising from your breach of these Terms or your misuse of the Platform, to the extent permitted by applicable law.
17. Suspension and termination
We may suspend or terminate your access to the Platform for violation of these Terms, fraud, or conduct that creates legal or security risk for the Platform or other users.
18. Privacy
Our collection and use of your information is described in our Privacy Policy, which forms part of these Terms by reference.
19. Governing law and dispute resolution
These Terms are governed by the laws of Iraq. Any dispute will be subject to the jurisdiction of the competent Iraqi courts.
20. Changes to these Terms
We may update these Terms from time to time. Where a change is material, you will be asked to review and accept the updated Terms before continuing to use protected features of the Platform, consistent with our version-tracked acceptance system.
