Part A — Operating your Lab/Imaging facility on TrustyDr Healthcare
1. Introduction and relationship characterization
This Lab/Imaging Agreement ("Agreement") governs the relationship between TrustyDr ("we," "us") and the laboratory or imaging facility registered on TrustyDr Healthcare ("Facility," "you," "your"). "App" carries the same meaning given to it in the Patient Terms of Service.
TrustyDr provides technology infrastructure that lets your Facility register staff, manage services, and receive and manage diagnostic requests from patients and referring doctors. TrustyDr does not become a party to the relationship between your Facility and any patient, does not become your agent, and this Agreement does not create a partnership, joint venture, franchise, or exclusive relationship between us. You remain an independent healthcare institution at all times.
This Agreement is provided in English, Arabic, and Kurdish. Each version is intended to convey the same meaning; if you have any question about a difference between versions, please contact us using the details in Section 15.
2. Who may accept this Agreement on the Facility's behalf
This Agreement may be accepted electronically on behalf of your Facility only by (a) the individual who owns the Facility's account (your identity and the Facility's identity are the same account), or (b) an active staff member with the Facility's own "lab admin" role.
By accepting this Agreement, the individual doing so represents and warrants that they are authorized to bind the Facility to this Agreement, and TrustyDr is entitled to rely on that representation without independently verifying it. Your acceptance — including which version of this Agreement you accepted, who accepted it, and when — is recorded by our systems and cannot be altered after the fact.
3. Eligibility and licensing representations
You represent and warrant that your Facility is validly licensed under applicable Iraqi law, including — where your Facility is a private diagnostic centre — the Law on Establishing Private Healthcare Institutions (Federal Law No. 25 of 2015).
Where your Facility provides imaging services involving ionizing radiation (for example, X-ray, CT), you additionally represent that your Facility complies with the Protection of Ionizing Radiation Law No. 99 of 1980 and the requirements of Iraq's Radiation Protection Center, including applicable worker health-surveillance obligations. This is a separate regulatory track from, and in addition to, general facility licensing under Federal Law No. 25 of 2015.
You will maintain every license and registration required to operate for as long as you use the App. TrustyDr reserves the right to verify, or require you to demonstrate, your Facility's licensing, ownership, or authority to act at any time, and to restrict your Facility's access to or visibility on the App pending that verification.
4. Services and diagnostic requests
Your Facility is solely responsible for the accuracy of the services and pricing information you provide through the App, and for the diagnostic services (specimen handling, imaging, reporting) you provide to patients, consistent with the Provider Terms of Service that apply individually to your staff.
5. Patient data handling as a Facility
Through the App, your Facility and its staff may access patient information necessary to provide diagnostic services, including referral information from a patient's treating doctor. You agree to: restrict access to that information to staff who need it; handle it consistent with applicable Iraqi law, including the general professional-confidentiality duty; and notify us and, where required, affected patients promptly if a security incident involving that data occurs on your side.
6. Fees
Where TrustyDr charges your Facility a fee for use of the App, that fee will be disclosed to you before it applies.
7. Suspension and termination
Your Facility's account may become non-operational automatically where a subscription or trial period expires without renewal, through our systems' own date-based calculation. Separately, we reserve the right to suspend or terminate your Facility's access for cause, including fraud, loss of the licensing represented in Section 3, breach of this Agreement, or conduct that creates legal or regulatory risk for the App or its users.
8. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only in connection with this Agreement.
9. Warranty disclaimers and limitation of liability
The App is provided "as is." We make no warranty regarding patient volume, business outcomes, or the fitness of the App's tools for your Facility's specific needs. To the maximum extent permitted by law, TrustyDr's total liability to your Facility arising out of or relating to this Agreement is limited to the fees your Facility has actually paid to TrustyDr in the six months before the claim arose. This limitation does not apply to liability that cannot be limited under applicable law, including liability for fraud or gross negligence, and does not limit your Facility's own liability for the diagnostic services it provides.
10. Indemnification
You agree to indemnify TrustyDr against losses, claims, and damages arising from: the diagnostic services provided by your Facility; your non-compliance with any licensing or regulatory requirement applicable to your Facility, including radiation-safety requirements where applicable; and any false representation made regarding authority to accept this Agreement on the Facility's behalf (Section 2).
11. Intellectual property
The App itself — its design, software, and branding — is owned by TrustyDr or its licensors. You retain ownership of your Facility's own name, branding, and the content you provide; by using the App, you grant TrustyDr a license to display that content for the purpose of operating your Facility's presence on the App.
12. Insurance
This Agreement does not currently impose an insurance requirement on your Facility. TrustyDr may introduce a risk-proportionate insurance requirement in the future with appropriate notice.
13. Governing law and dispute resolution
This Agreement is governed by the laws of Iraq. Disputes arising out of or relating to this Agreement will be resolved through arbitration rather than through the courts, except where applicable law does not permit a matter to be arbitrated. The arbitration seat, administering institution, and applicable rules will be specified by TrustyDr consistent with applicable law; any such specification, or later change to it, will be communicated to you and, where it constitutes a material change to this Agreement, will follow the version and re-acceptance process described in Section 14.
14. Term and changes
This Agreement remains in effect for as long as your Facility maintains an account on the App. Sections that by their nature should survive termination — including Confidentiality, Indemnification, and Limitation of Liability — continue to apply after this Agreement ends. We may update this Agreement from time to time; where a change is material, you will be asked to review and accept the updated Agreement before continuing to use the affected features.

Part B — Marketplace participation
Your Facility does not currently have the ability to sell products through TrustyDr Marketplace. If TrustyDr Healthcare enables Marketplace participation for laboratory/imaging facilities in the future (for example, selling supplies or take-home test kits), this Agreement will be updated to add the applicable seller-of-record, payment, and delivery obligations, and, because that would be a material change, you will be asked to review and accept the updated Agreement before using that functionality, consistent with Section 14 above.
