Part A — Operating your Pharmacy on TrustyDr Healthcare
1. Introduction and relationship characterization
This Pharmacy Agreement ("Agreement") governs the relationship between TrustyDr ("we," "us") and the pharmacy registered on TrustyDr Healthcare ("Pharmacy," "you," "your"). "App" carries the same meaning given to it in the Patient Terms of Service.
TrustyDr provides technology infrastructure that lets your Pharmacy register staff, manage services, and interact with patients, and — where enabled, as described in Part B — sell products through TrustyDr Marketplace. TrustyDr does not become a party to any dispensing or sale between your Pharmacy and any patient/customer, does not become your agent, and this Agreement does not create a partnership, joint venture, franchise, or exclusive relationship between us. You remain an independent business and the seller of record at all times.
This Agreement is provided in English, Arabic, and Kurdish. Each version is intended to convey the same meaning; if you have any question about a difference between versions, please contact us using the details in Section 16.
2. Who may accept this Agreement on the Pharmacy's behalf
This Agreement may be accepted electronically on behalf of your Pharmacy only by (a) the individual who owns the Pharmacy's account (your identity and the Pharmacy's identity are the same account), or (b) an active staff member with the Pharmacy's own "pharmacy admin" role.
By accepting this Agreement, the individual doing so represents and warrants that they are authorized to bind the Pharmacy to this Agreement, and TrustyDr is entitled to rely on that representation without independently verifying it. Your acceptance — including which version of this Agreement you accepted, who accepted it, and when — is recorded by our systems and cannot be altered after the fact.
3. Eligibility and licensing representations
You represent and warrant that: your Pharmacy is validly licensed under applicable Iraqi law to practice pharmacy and dispense medicine, including the Pharmacy Practice/Pharmaceutical Law (Federal Law No. 40 of 1970) and its Instructions No. 4 of 1998, and — where your Pharmacy operates as a private healthcare institution — the Law on Establishing Private Healthcare Institutions (Federal Law No. 25 of 2015); every pharmacist practicing at your Pharmacy is registered with the Syndicate of Iraqi Pharmacists and licensed by the Ministry of Health/Iraq Drug Regulatory Authority (IDRA); and you will maintain every license and registration required to operate for as long as you use the App.
TrustyDr reserves the right to verify, or require you to demonstrate, your Pharmacy's licensing, ownership, or authority to act at any time, and to restrict your Pharmacy's access to or visibility on the App pending that verification.
4. Services and patient interaction
Your Pharmacy is solely responsible for the accuracy of the services, availability, and pricing information you provide through the App, and for the pharmaceutical care and dispensing you provide to patients, consistent with the Provider Terms of Service that apply individually to your staff.
5. Patient data handling as a Pharmacy
Through the App, your Pharmacy and its staff may access patient information necessary to provide care. You agree to: restrict access to that information to staff who need it; handle it consistent with applicable Iraqi law, including the general professional-confidentiality duty; and notify us and, where required, affected patients promptly if a security incident involving that data occurs on your side.
6. Fees
Where TrustyDr charges your Pharmacy a fee for use of the App (Healthcare features), that fee is separate from any subscription fee for Marketplace participation described in Part B.
7. Suspension and termination
Your Pharmacy's account may become non-operational automatically where a subscription or trial period expires without renewal, through our systems' own date-based calculation. Separately, we reserve the right to suspend or terminate your Pharmacy's access for cause, including fraud, loss of the licensing represented in Section 3, breach of this Agreement, or conduct that creates legal or regulatory risk for the App or its users.
8. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only in connection with this Agreement.
9. Warranty disclaimers and limitation of liability
The App is provided "as is." We make no warranty regarding patient/customer volume, business outcomes, or the fitness of the App's tools for your Pharmacy's specific needs. To the maximum extent permitted by law, TrustyDr's total liability to your Pharmacy arising out of or relating to this Agreement is limited to the fees your Pharmacy has actually paid to TrustyDr in the six months before the claim arose. This limitation does not apply to liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
10. Indemnification
You agree to indemnify TrustyDr against losses, claims, and damages arising from: your Pharmacy's products, dispensing, and listings; your non-compliance with any licensing or regulatory requirement applicable to your Pharmacy; and any false representation made regarding authority to accept this Agreement on the Pharmacy's behalf (Section 2).
11. Intellectual property
The App itself — its design, software, and branding — is owned by TrustyDr or its licensors. You retain ownership of your Pharmacy's own name, branding, and the content you provide; by using the App, you grant TrustyDr a license to display that content for the purpose of operating your Pharmacy's presence on the App, including Marketplace listings where enabled.
12. Insurance
This Agreement does not currently impose an insurance requirement on your Pharmacy. TrustyDr may introduce a risk-proportionate insurance requirement in the future with appropriate notice.
13. Governing law and dispute resolution
This Agreement is governed by the laws of Iraq. Disputes arising out of or relating to this Agreement will be resolved through arbitration rather than through the courts, except where applicable law does not permit a matter to be arbitrated. The arbitration seat, administering institution, and applicable rules will be specified by TrustyDr consistent with applicable law; any such specification, or later change to it, will be communicated to you and, where it constitutes a material change to this Agreement, will follow the version and re-acceptance process described in Section 15.
14. Prescription and regulated-product boundary
This section applies specifically to prescription-only medicines, controlled substances, and other regulated health products.
You are solely and independently responsible for: verifying prescriptions where required; complying with all restrictions on the sale, dispensing, and distribution of such products, including under the Pharmacy Practice/Pharmaceutical Law, IDRA requirements, and Law No. 50 of 2017 on narcotics and psychotropic substances; and complying with the prohibition on direct-to-consumer advertising of medicines. TrustyDr does not verify prescriptions and provides no tooling for prescription verification.
This section assigns responsibility as between TrustyDr and the Pharmacy; it does not, and is not intended to, establish that any specific feature of the App (including Marketplace sale of medicines, where enabled) is itself lawful under Iraqi law. Your compliance with this section does not resolve that separate question.
15. Term and changes
This Agreement remains in effect for as long as your Pharmacy maintains an account on the App. Sections that by their nature should survive termination — including Confidentiality, Indemnification, and Limitation of Liability — continue to apply after this Agreement ends. We may update this Agreement from time to time; where a change is material, you will be asked to review and accept the updated Agreement before continuing to use the affected features.

Part B — Marketplace participation (TrustyDr Marketplace)
This Part B applies where your Pharmacy uses TrustyDr Marketplace features to sell products to customers. Accepting this Agreement, including this Part B, is your Pharmacy's complete Marketplace coverage — you are not separately asked to accept TrustyDr Commerce's own Merchant Agreement.
17. Products, listings, pricing, and inventory
You are solely responsible for the accuracy of the product information, pricing, and inventory you list on the Marketplace, including compliance with Iraqi product-labeling, expiry-date, and quality-standard requirements. You agree not to list products that are prohibited, unregistered, or restricted under Iraqi law, including unregistered pharmaceuticals. Prices you set must be displayed inclusive of all fees and taxes known at the time of listing, and you agree to transact with customers in Iraqi Dinar.
18. Orders and fulfillment
When a customer submits an order for your products, it is sent to you as a request to purchase. You are responsible for promptly accepting or rejecting each order — your acceptance is what establishes the sale, subject to applicable law; if you reject an order, no sale occurs. Once you accept an order, you are responsible for preparing, marking ready, and fulfilling it through to completion.
Customer cancellation. A customer may cancel their own order using the tools provided on the Marketplace at any point before you have completed fulfilling it. You agree to honor a validly cancelled order and not to charge or attempt to collect payment for it.
19. Payment for Marketplace orders
Payment for a Marketplace order is made directly between you and the customer — TrustyDr is not involved in, and does not process, hold, settle, or transfer, those funds. You are solely responsible for the lawful collection of payment through whatever method you offer, for providing receipts where required by law, for your own sales accounting and tax obligations, and for resolving, subject to applicable law, any dispute with a customer concerning money you have collected.
This is separate from any subscription/platform fee your Pharmacy pays TrustyDr to use the Marketplace, described in Section 21.
20. Delivery
You are responsible for the delivery of orders you fulfill, whether through your own delivery personnel or other arrangements you make. TrustyDr does not operate a delivery fleet and is not responsible for the timeliness, handling, or loss or damage of goods in transit.
21. Subscription, fees, and billing
Marketplace participation beyond any free trial period requires a paid subscription, on the plans and billing cycles made available to you in the App. TrustyDr does not operate an automated payment gateway and does not charge your card or bank account automatically — you pay through an offline method you arrange yourself and submit a record of that payment for our review; approval is performed by a TrustyDr staff member, and once approved, the paid period is added to whatever time remains on your account, not restarted from zero.
22. Returns, refunds, and reverse fulfillment
You agree to handle return, refund, and reversal requests fairly, in compliance with applicable Iraqi consumer-protection law, using the reverse-fulfillment tools provided. At minimum, you must honor the non-conformity refund right guaranteed to customers under Iraqi law, subject to the exceptions that law itself provides.
23. Taxes
You are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to your own Marketplace sales, and for maintaining your own tax registration in good standing.
24. Marketplace enforcement
We reserve the right to review, request changes to, or remove any listing; to require you to demonstrate compliance with licensing or product-registration requirements before a listing is made visible; and to condition Marketplace visibility on verification we may require from time to time.
